Welcome to Midac LLC. These Terms of Service ("Terms") govern your access to and use of our website (mineksuite.com), related services, and the Minek desktop applications, which include the Minek Suite and Minek Graphic (the "Software"; the Software, together with the website and related services, the "Services").

Please read these Terms carefully before using our Services.

1. Acceptance of Terms

By accessing our website, purchasing a software license, or downloading or using our Software, you agree to be bound by these Terms, our Privacy Policy, our Refund Policy, and our End User License Agreement (EULA). If you do not agree to these Terms, you may not use our Services. If you are accepting these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

Eligibility. You must be at least 18 years old, or the age of majority where you live, and legally able to enter into a binding contract to purchase a license or use the Software.

Electronic Agreement. You agree that clicking a purchase button, completing checkout, or installing or using the Software constitutes your electronic signature and acceptance of these Terms, the EULA, and the Refund Policy, with the same effect as a handwritten signature.

2. Merchant of Record & Billing

2.1. Polar as Merchant of Record.
Our order process is conducted by our online reseller and Merchant of Record, Polar Software, Inc. ("Polar"), which handles all payments, payment-related customer service, returns, and refunds. Midac LLC does not collect payments or issue refunds directly; all refunds are issued by Polar in accordance with our Refund Policy and the Polar Buyer Terms. When you purchase a license, Polar is the seller of record and you complete the purchase transaction with Polar. Your purchase is subject to the Polar Buyer Terms, and Polar's processing of your personal data at checkout is governed by the Polar Privacy Policy.

2.2. Who Is Responsible for What.
Polar is responsible for payment processing, invoicing, sales tax collection and remittance, and payment-related customer service. Midac LLC, not Polar, is the developer and licensor of the Software and is responsible for the Software, its license terms, and any updates and technical support it chooses to provide, as described in these Terms and the EULA. Your rights to use the Software are licensed to you by Midac LLC under our EULA.

2.3. Payment Terms.
Each purchase of a license, an additional update period, or an upgrade is a "Purchase." By completing a Purchase, you authorize Polar to charge your selected payment method for the price and any applicable taxes shown at checkout.

2.4. Taxes and Fees.
Prices displayed on our website are in US dollars and may not include applicable taxes. As Merchant of Record, Polar calculates, collects, and remits any required sales tax, VAT, or GST based on your location at checkout. The final price will be shown before you complete your purchase.

2.5. Prices and Errors.
We may change prices at any time; changes do not affect completed Purchases. If a product is listed at an incorrect price or with incorrect information due to an error, we and Polar may refuse or cancel any order placed at that price, and any amount charged will be refunded through Polar, in which case no license is granted.

2.6. No Free Trial.
We do not offer free trials, demo licenses, or money-back guarantees. Please review the product description, screenshots, and these Terms before purchasing.

3. License Key Security

To access our Software, you will be issued a unique License Key upon purchase through Polar. You do not need to create an account or password directly with us. You are entirely responsible for safeguarding your License Key and for any activities or actions occurring under your Key. You must not share, distribute, or publish your License Key, except with the individuals authorized to use your purchased seats (for example, your employees, if you purchased on behalf of an entity). You must notify us immediately upon becoming aware of any unauthorized use or compromise of your License Key. Sharing your License Key with anyone else constitutes a material breach of these Terms and will result in the immediate termination of your license without refund.

4. Software License & EULA

The use of any software downloaded from our Services is strictly governed by our End User License Agreement (EULA). These Terms do not supersede the EULA; rather, they govern the broader relationship and usage of our website and general services. In the event of a conflict between these Terms and the EULA regarding software usage, the EULA shall take precedence.

5. Software Delivery, Updates & Support

5.1. Delivery.
Upon successful payment through Polar, you will receive an automated email containing your software License Key and download instructions. Your License Key and downloads are also available through the Polar customer portal.

5.2. Updates.
Your purchase entitles you to download and install all updates, patches, and new versions released during the 12 months following your date of purchase (your "Update Period"); a version is treated as released on its build date. After your Update Period ends, every version released during it remains licensed to you. To receive updates released after your Update Period, you must purchase either (a) an additional 12 months of updates, or (b) an upgrade to a newer version, at the price then offered. Update purchases are optional and are never charged automatically. The Update Period entitles you to updates that Midac LLC chooses to release during it; Midac LLC is not obligated to release any update, feature, or new version during any Update Period, and the content, timing, and frequency of updates are at its sole discretion. No refund or extension is owed if few or no updates are released.

5.3. Activation Services.
License activation relies on third-party services, including Polar. Midac LLC does not guarantee the continued availability of activation, download, or customer-portal services and is not liable for their interruption or discontinuation. Activated installations can be used offline between license checks, but the Software checks your license about every 10 days when online and needs a successful check at least about every 44 days to keep working, as described in the EULA. If license services are unavailable for longer than that, the Software may stop working until they are restored.

5.4. Support.
Technical support, if any, is provided at Midac LLC's sole discretion during your 12-month update period, on an "as is" basis, with no guaranteed response or resolution times. Support does not include custom development, training, or recovery of lost or corrupted files.

6. Intellectual Property Rights

All content, features, functionality, and software available through the Services (including but not limited to design, text, graphics, logos, button icons, images, audio clips, data compilations, and code) are the exclusive property of Midac LLC or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Feedback. If you submit suggestions, bug reports, feature requests, or other feedback, you grant Midac LLC a non-exclusive, perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback for any purpose without compensation or attribution to you.

CONTINUOUS DEVELOPMENT AND PRE-RELEASE MEDIA: Minek software is under continuous development. You acknowledge and agree that promotional media, developer logs, and social media content (including videos and images) shared prior to or during the release of the software are for demonstrative purposes only and often showcase experimental, pre-release, or future features. Your purchase is for the software "As-Is" at the time of download. The decision to include, modify, delay, or remove specific tools and features in the public release is at the sole discretion of Midac LLC based on quality assurance testing. You agree that your purchase is not contingent upon the delivery of any specific future functionality or any feature shown in pre-release promotional media. This also applies to any feature described on our website, in product descriptions, or elsewhere as “in development,” “planned,” “coming,” or similar: such features are not part of the Software you purchase unless and until they are included in a released version, and no release date is guaranteed. If such a feature is released during your Update Period, it is included with your purchase.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIDAC LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

PROFESSIONAL USE: The Software is a design tool. It does not provide engineering, architectural, structural, energy, or code-compliance certification, and its outputs must be independently verified by a qualified professional before being relied upon, as further described in the EULA.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MIDAC LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, OR PROPERTY DAMAGE OR PROFESSIONAL LIABILITY ARISING FROM DESIGNS OR OUTPUTS CREATED WITH THE SOFTWARE, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF MIDAC LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIDAC LLC'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES, THE SOFTWARE, ANY PURCHASE, OR THESE TERMS, UNDER ANY THEORY OF LIABILITY, SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SPECIFIC SOFTWARE LICENSE OR PURCHASE GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID FOR A LICENSE, MIDAC LLC'S TOTAL LIABILITY IS ZERO.

Exclusive Remedy. Your sole and exclusive remedy for any dissatisfaction with the Services or the Software is to stop using them and, only where eligible under our Refund Policy, to request a refund through Polar. These limitations are an essential basis of the bargain between you and Midac LLC, and the prices of our licenses reflect them. They apply even if any limited remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In those jurisdictions, the exclusions and limitations above apply to the fullest extent permitted, and Midac LLC's liability is limited to the minimum amount required by applicable law.

10. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Midac LLC and its members, managers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Services, (b) designs, models, documents, or other outputs you create with the Software and any reliance on them by you or third parties, or (c) your violation of these Terms, the EULA, or any applicable law or third-party right. Midac LLC may assume the exclusive defense and control of any matter subject to indemnification by you, and you will cooperate with that defense.

11. Termination

11.1. Website Access. We may suspend or terminate your access to our website and online services at any time, with or without notice.

11.2. Software License. Your Software license may be terminated only as described in the EULA, including for material breach of these Terms or the EULA (such as sharing your License Key or circumventing license enforcement), fraudulent purchase, or chargeback.

11.3. Refunded Licenses Are Revoked. If the license fee for your Purchase is refunded, in whole or in part, for any reason (whether by Polar on its own decision or at our request), your license is permanently revoked as of the date of the refund. This applies to every version of the Software you received under that license, including versions already downloaded or installed. Your License Key will be deactivated, and you must stop using, uninstall, and delete the Software. See our Refund Policy.

11.4. Survival. Sections 6, 8, 9, 10, 11.3, 12, and 13, and any other provision that by its nature should survive, survive any termination or revocation.

12. Governing Law & Dispute Resolution

These Terms, the EULA, and any dispute arising out of or relating to them, the Software, or any Purchase are governed by the laws of the State of Missouri, USA, without regard to its conflict of law principles.

Exclusive Jurisdiction and Venue. Except as provided in the Small Claims Exception below, any legal action or proceeding arising out of or relating to these Terms, the EULA, the Software, or any Purchase must be filed exclusively in the state or federal courts located in St. Louis, Missouri, USA. You and Midac LLC irrevocably consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum.

Small Claims Exception. Either party may instead bring an individual claim in the small claims court of St. Louis, Missouri, if the claim qualifies for that court and remains in it.

Your purchase transaction with Polar is governed separately by the Polar Buyer Terms.

Before filing any claim, you agree to first contact us at info@mineksuite.com and attempt to resolve the dispute informally for at least 30 days.

Individual Claims Only. To the extent permitted by law, all claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Jury Trial Waiver. TO THE EXTENT PERMITTED BY LAW, YOU AND MIDAC LLC EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS, THE EULA, THE SOFTWARE, OR ANY PURCHASE.

Nothing in this section limits any mandatory consumer protection or forum right that applicable law does not permit to be waived.

13. General

14. Changes to Terms

We may modify these Terms from time to time. If a revision is material, we will provide at least 30 days' notice before the new terms take effect, by posting on this page and, where we have your email address, by email. Changes will not apply retroactively. By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised Terms.
