IMPORTANT – READ CAREFULLY: This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, hereinafter "Licensee" or "you") and Midac LLC ("Licensor," "we," or "us") for the software product(s) accompanying this Agreement, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation, collectively encompassing the Minek Suite and Minek Graphic (collectively, the "Software").
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.
The Software is provided as two distinct products:
The Software is licensed, not sold. Subject to your continuous compliance with this Agreement and receipt of full payment (processed by our online reseller and Merchant of Record, Polar Software, Inc. ("Polar")), Midac LLC grants you a perpetual, non-exclusive, non-transferable, limited license, revocable only as provided in Section 7, to install and use the specific Software tier you have purchased on compatible computers running Windows 10 or Windows 11 (64-bit) that meet the system requirements published on our website, up to your purchased seat limit. Unless a different number is stated at purchase, your seat limit is the activation limit associated with your License Key, and each seat may be used by one individual. You may use the Software and your Outputs for personal or commercial purposes, subject to this Agreement. No source code is licensed to you.
Your purchase grants you a perpetual license to the version of the Software available at the time of purchase, plus all updates released during the 12 months following your purchase. This license is perpetual unless it is terminated or revoked under Section 7, including if your purchase is refunded.
Midac LLC retains all right, title, and interest in and to the Software, including all copyrights, patents, trade secrets, trademarks, and other intellectual property rights therein. Your possession, installation, or use of the Software does not transfer to you any title to the intellectual property in the Software, and you will not acquire any rights to the Software except as expressly set forth in this Agreement.
User Content: As between you and Midac LLC, you own the designs, models, and other outputs you create using the Software, and Midac LLC claims no ownership over them, subject to the rights of Midac LLC and its licensors in any Included Content and the rights of third parties in any content you import.
Included Content: Materials, textures, presets, environments, node templates, sample files, and other content included with the Software ("Included Content") remain the property of Midac LLC or its licensors. You may use Included Content only as part of outputs you create with the Software, and may not extract, redistribute, sell, or sublicense it on a standalone basis.
Modular Access: You are only licensed to use the specific modules included in your purchased tier.
DRM Restrictions: Explicitly attempting to bypass, modify, or reverse-engineer the Digital Rights Management (DRM) or activation system to access locked modules (e.g., bypassing the Graphic tier to unlawfully access the Form, Technic, or Parametric modules) is a direct material violation of this EULA. Such actions will result in immediate license revocation without refund.
Seat Binding: Unless a different number is stated at purchase, each License Key can be activated on one computer at a time. To enforce this, the Software creates a pseudonymous Machine ID: a one-way SHA-256 hash derived from your Windows installation’s MachineGuid, your hardware’s system UUID, and your computer’s domain. Only this hash and your License Key are sent to Polar’s license key service, strictly for license validation and piracy prevention; the raw identifiers never leave your computer. Your activation is stored in a license file on your computer (in %APPDATA%\Minek). Exceeding your purchased seat limit constitutes a material breach of this Agreement.
Activation: The Software will not run until it has been activated online with a valid License Key. The first activation requires an internet connection.
Periodic License Checks: When the computer is online, the Software checks your license with Polar about every 10 days. You can keep working offline between checks, but if the Software has not completed a successful check for about 44 days, it will need to connect before it can continue to be used. An internet connection is otherwise needed only for activation, reactivation and, where enabled, update checks.
Deactivated, Refunded or Revoked Licenses: If an activation is released, or your Purchase is refunded or charged back, the Software stops working on that computer at its next license check, which may happen while the Software is open; please save your work regularly. If your License Key is revoked under Section 7, the Software continues to work for up to 14 more days and then locks.
You explicitly agree NOT to:
.minek binary file format.The restrictions on decompiling and reverse engineering apply except to the extent applicable law expressly permits such activity notwithstanding this limitation, and then only to the minimum extent required by that law.
Your purchase entitles you to receive all updates, patches, and new versions released by Midac LLC during the 12 months following your date of purchase (your "Update Period"). A version is treated as released on its build date, so you may install any build dated up to 365 days after your purchase. After your Update Period ends, you keep your perpetual license to every version released during it. To receive updates released after your Update Period, you must purchase either an additional 12 months of updates or an upgrade to a newer version, at the price then offered. Update purchases are optional and are never charged automatically. Versions obtained through an update purchase are licensed under this Agreement.
Updates may be delivered via email notification containing a download link, or via an in-app notification prompting you to download the latest version from your Polar customer portal.
Midac LLC is not obligated to release any update, feature, or new version during any Update Period, and may modify, add, or remove features in any update. Midac LLC may discontinue the Software or any module at any time; versions you have already licensed and activated will continue to be licensed to you under this Agreement. License activation relies on third-party services, including Polar, whose continued availability Midac LLC does not guarantee.
This license is perpetual unless terminated or revoked. Your rights under this Agreement will terminate automatically, without notice, if:
A refunded license is a revoked license. If the license fee for your purchase is refunded, in whole or in part, for any reason (whether by Polar on its own decision or at our request), your license is permanently revoked as of the date of the refund. Revocation applies to every version of the Software received under that license, including versions already downloaded or installed and versions released during your Update Period. If only a separate update purchase is refunded, the additional update period it provided is revoked, along with any versions released during that additional period, and your original license is otherwise unaffected.
Upon termination or revocation, you must immediately cease all use of the Software, uninstall it, and destroy all copies in your possession. Midac LLC will deactivate terminated, revoked, and refunded License Keys through Polar, and the Software will no longer activate or run under that key. Sections 2, 5, 7, 9, 10, 11, 12, and 13, and any other provision that by its nature should survive, survive termination or revocation.
The Software may contain or be accompanied by third-party software, including open-source libraries, fonts, and the Microsoft Visual C++ runtime. Such third-party software is licensed to you under the terms of the respective third-party license agreements, which do not alter your rights or obligations under this Agreement with respect to the Midac LLC Software. The applicable notices and license texts are provided with the Software (for example, in the in-app Help › Credits). Nothing in this Agreement limits your rights under those third-party licenses.
The Software is a specialized tool intended to assist architects, engineers, designers, and other professionals in their workflows. It is not a substitute for independent professional judgment, rigorous testing, structural analysis, safety evaluations, or independent design verification.
You acknowledge and agree that:
ALPHA/BETA STATUS: You acknowledge that the Software may be designated as an "Alpha" or "Beta" release. Such releases are still in active development, may contain bugs, incomplete features, or instabilities, and are provided strictly on an "as-is" and "as-available" basis without any performance guarantees.
CONTINUOUS DEVELOPMENT AND PRE-RELEASE MEDIA: Minek Software is under continuous development. You acknowledge and agree that promotional media, developer logs, and social media content (including videos and images) shared prior to or during the release of the software are for demonstrative purposes only and often showcase experimental, pre-release, or future features. Your purchase is for the software "As-Is" at the time of download. The decision to include, modify, delay, or remove specific tools and features in the public release is at the sole discretion of Midac LLC based on quality assurance testing. You agree that your purchase is not contingent upon the delivery of any specific future functionality or any feature shown in pre-release promotional media. This also applies to any feature described on our website, in product descriptions, or elsewhere as “in development,” “planned,” “coming,” or similar: such features are not part of the Software you purchase unless and until they are included in a released version, and no release date is guaranteed. If such a feature is released during your Update Period, it is included with your purchase.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIDAC LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MIDAC LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, REVENUE, OR DATA, CORRUPTION OF PROJECT FILES, BUSINESS INTERRUPTION, HARDWARE FAILURE, PROPERTY DAMAGE, OR PROFESSIONAL LIABILITY ARISING FROM OUTPUTS) ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SOFTWARE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF MIDAC LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIDAC LLC'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SOFTWARE, OR ANY PURCHASE, UNDER ANY THEORY OF LIABILITY, SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SPECIFIC LICENSE OR PURCHASE GIVING RISE TO THE CLAIM.
Exclusive Remedy. Your sole and exclusive remedy for any dissatisfaction with the Software is to stop using it and, only where eligible under our Refund Policy, to request a refund through Polar, which revokes your license. These limitations are an essential basis of the bargain, are reflected in the license price, and apply even if any limited remedy fails of its essential purpose.
You are solely responsible for maintaining backups of your project files. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In those jurisdictions, the exclusions and limitations above apply to the fullest extent permitted, and Midac LLC's liability is limited to the minimum amount required by applicable law.
Polar Software, Inc. acts as our online reseller and Merchant of Record for purchases of the Software. Polar is not a party to this Agreement and is not responsible for the Software, its functionality, updates, or support. Your purchase transaction is governed by the Polar Buyer Terms; your rights to use the Software are governed by this Agreement.
